1. Acceptance of Terms
By accessing this website or engaging our services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any part of these terms, you may not use our services.
2. Services
lensoLABS provides digital engineering services including but not limited to: website development, software development, e-commerce solutions, AI integration, cloud infrastructure, UI/UX design, and product strategy. The scope of each engagement is defined in a separate Statement of Work (SOW) or Master Services Agreement (MSA) agreed prior to commencement.
3. Intellectual Property
Upon receipt of full payment for a completed engagement, all intellectual property rights in the deliverables (including source code, design assets, documentation, and any associated materials) transfer to the client in full. lensoLABS retains no rights to use, reproduce, or distribute client deliverables without explicit written consent.
4. Payment Terms
Payment terms are defined per engagement in the relevant SOW. Standard terms require an upfront deposit prior to commencement of work, with the balance due upon milestone completion or delivery. Invoices are payable within 14 days of issue unless otherwise agreed.
5. Confidentiality
Both parties agree to maintain the confidentiality of any proprietary or sensitive information disclosed during an engagement. This obligation survives the termination of the engagement. A formal Non-Disclosure Agreement (NDA) is available upon request.
6. Limitation of Liability
To the maximum extent permitted by law, lensoLABS shall not be liable for any indirect, incidental, special, or consequential damages arising from the use of our services. Our total liability in connection with any engagement shall not exceed the total fees paid for that engagement.
7. Warranties
lensoLABS warrants that all work delivered will be of professional quality and free from material defects for a period of 30 days following delivery. This warranty does not cover issues arising from client modifications, third-party integrations, or changes to external dependencies outside our control.
8. Governing Law
These Terms of Service are governed by and construed in accordance with the laws of England and Wales. Any disputes arising shall be subject to the exclusive jurisdiction of the courts of England and Wales.
9. Modifications
We reserve the right to modify these Terms of Service at any time. Changes will be effective upon posting to this page. Continued use of our services following any modifications constitutes acceptance of the updated terms.
